SEC Form RW: When an IPO or Offering Gets Pulled

An RW is the formal request to withdraw a registration statement. For a pending IPO it ends the attempt. For a public company it can mean a raise was abandoned.

What Is an RW Filing?

The RW is a registration withdrawal request under Rule 477. The issuer asks the SEC to withdraw a registration statement, such as an S-1, F-1 or S-3, before it is declared effective.

An RW is short. It names the registration statement being withdrawn and usually gives a brief reason. The reason is often generic, so the context around the filing matters more than the words in it.

What RW Reveals

  • Which registration statement is being withdrawn, by form type and file number
  • The stated reason, when one is given
  • The date the issuer gave up on the offering

What Investors Should Watch For

An RW means a planned offering will not happen in its current form. The reasons vary:

  • Market conditions: The most common stated reason. Weak demand or a falling market made the deal unattractive.
  • Private sale: The company found a buyer or private funding and no longer needs public money.
  • Failed deal: A merger or financing tied to the registration fell apart.
  • For a pending IPO: The RW is the formal end of the attempt. Watch for a later refiling.
  • For a public company: A withdrawn S-3 or follow-on can mean an abandoned raise. Ask how the company will fund itself instead.

How NexusAlert Helps

NexusAlert catches every RW the same day it hits EDGAR and links it to the registration it withdraws. The AI summary explains which offering was pulled and the stated reason. If the company is on your watchlist, the RW shows up in your daily alerts and in the company dossier next to the original S-1, F-1 or S-3.
