SEC Form EFFECT: The Green Light for an Offering
EFFECT is the SEC's one-line notice that a registration statement is effective. From that moment, the issuer is legally cleared to sell the registered securities.
What Is an EFFECT Filing?
An EFFECT is a notice of effectiveness. The SEC posts it on EDGAR when it declares a registration statement effective. Unlike most filings, the company does not write it. It is the SEC's own record.
The notice itself is short. It names the company, the registration statement and the date it became effective. What it means depends on the filing it points to.
What EFFECT Reveals
- Which registration statement is now effective, by form type and file number
- The date it became effective
- That the issuer can now legally sell the registered securities
What Investors Should Watch For
The same notice means different things depending on what was registered:
- S-1 or F-1: The IPO can now price.
- S-3 shelf: The shelf is live. The company can sell shares or debt at any time, including through an ATM program.
- Resale registration: Locked-up holders, insiders or PIPE investors named in the filing can now sell.
EFFECT vs RW
| EFFECT | RW |
|---|---|
| Issued by the SEC | Filed by the issuer |
| Registration declared effective | Registration withdrawn before effectiveness |
| Issuer cleared to sell | Offering will not proceed as filed |
| Green light in the registration lifecycle | End of the registration lifecycle |
