SEC Form 6-K: The Foreign Issuer Report Explained
For foreign companies listed in the US, the 6-K is where quarterly numbers and material news show up. It does the job of both the 8-K and the 10-Q.
What Is a 6-K Filing?
The SEC Form 6-K is the report of a foreign private issuer. It covers anything the company must publish in its home market or sends to its shareholders. The 6-K brings that information to US investors.
There is no fixed deadline. The rule says the 6-K must be filed promptly after the information is made public at home. In practice, it is the foreign counterpart of both the 8-K and the 10-Q.
What's Inside a 6-K
A 6-K is usually a cover page with the home-market document attached. Common contents include:
- Interim results: Quarterly or half-year financial statements and earnings releases.
- Press releases: Product news, deals, management changes and other announcements.
- Dividend notices: Declared dividends, record dates and payment dates.
- Material agreements: Contracts, financings and other deals the company has signed.
- Shareholder materials: Meeting notices and other documents sent to holders.
What Investors Should Watch For
Foreign issuers do not file 8-Ks or 10-Qs. If you hold an ADR, the 6-K is your main source of news between annual reports.
- Quarterly numbers: Earnings for many ADRs arrive only as a 6-K. A watchlist that skips 6-K misses them.
- Material events: Deals, financings and leadership changes are reported here, not on an 8-K.
- Gaps in reporting: Some issuers publish less often than US companies. Long silences are worth noting.
- Attached documents: The important detail is often in the exhibit, not the cover page.
6-K vs 8-K
| 6-K | 8-K |
|---|---|
| Foreign private issuers | US domestic issuers |
| Filed promptly, no fixed deadline | Usually filed within four business days |
| Covers interim results and material events | Covers material events, results go in the 10-Q |
| Follows home-market disclosure | Follows SEC item list |
