PepsiCo CEO Ramon Laguarta Sold $4.05 Million of Stock, and the Green Insider Number Is a Trust Swap

PepsiCo CEO Ramon Laguarta sold 30,000 shares for $4.05 million with no 10b5-1 plan. The insider card says Buying $15.4M, but the biggest green lines are trust transfers.

PepsiCo’s CEO sold $4.05 million of stock. The insider data says insiders are buying.

On October 21, 2026, PepsiCo Chairman and CEO Ramon Laguarta sold 30,000 shares at about $135.13, roughly $4.05 million, according to a Form 4 filed the next day. The box that marks a pre-arranged Rule 10b5-1 trading plan is not checked. Laguarta chose to sell, on a day he picked, in the open market.

NexusAlert saw it coming. A Form 144, the notice of a proposed sale, hit on October 20 for the same 30,000 shares, about $4.05 million, with no trading plan on file. The Form 4 followed on October 22, a day before the trade press wrote it up.

Then open the Company Dossier for PepsiCo and the insider card says Net $15.4M in green. A CEO sells and the badge says insiders are buying. Both cannot be the whole truth.

What the Form 4 says about the sale

Start with what is solid. The sale was code S, an open-market sale, in 30,000 shares at a weighted average of $135.13 (prices ranged from $135.07 to $135.19). It is not tax withholding and it is not an option exercise. After it, Laguarta still held 491,645 shares directly, so he sold about 5.75% of his position and kept roughly $66 million of stock.

That is a real, discretionary sale by the person running one of the best-known consumer brands on earth. It is also a modest slice of his stake. Nexus flagged it High severity as an insider signal, and the AI Impact Analysis read it as a cautionary one. The honest read sits in the middle: worth knowing, not a verdict.

The detail the green label hides

Look at the two biggest green lines on the card: director Robert C. Pohlad, Buy $10.8M and Buy $5.8M. Pohlad’s Form 4 reports four transactions on October 14, all coded P, a code normally used for purchases: 184,646 shares at $128.28 each, about $23.7 million in total across the four lines.

Read the footnote and the picture changes. The shares were acquired from irrevocable trusts through a substitution of assets, and his revocable trust handed over cash of equal fair market value in exchange. Shares moved from one family trust to another, and cash moved the other way. That is estate and trust housekeeping, not a director putting fresh conviction into the open market.

The filing code says purchase. The footnote says swap. A dashboard that counts the code without the footnote will call it buying, and so will a headline built from it. The Dossier shows the lines, and the Form 4 behind them tells you what they are.

So is the CEO sale a red flag?

Not on its own. A 5.75% trim by a CEO who still holds nearly half a million shares is not a statement about the next quarter. The missing 10b5-1 plan means the timing was his call, which is why the Form 144 on October 20 mattered: it was the first public sign of the sale. The stock was down 2.2% on the filing day, and nothing in either filing links the two.

The Dossier’s pillar scores say the same thing in a calmer voice. PepsiCo scores 31.6 out of 50 overall, Above average. Insider Conviction is 4.5 out of 10, around the middle of companies NexusAlert scores, which fits a company with one discretionary sale and no real open-market buying to offset it. Financial Strength is 6.9 (top 31%), Governance is 6.0, Earnings Quality is 4.3, and Institutional Flow is 9.9, in the top 1%. The Form 144 banner adds six notices and $12.2 million of planned selling this period, with $4.1 million of that in the trailing 90 days.

The lesson

A CEO sale is a fact. A green net-buying number is only an opinion about what the lines inside it mean.

A filing code tells you what a line is called. The footnote tells you what it is.

The headline version is a PepsiCo CEO dumping stock. The badge version is insiders buying $15.4 million. The filing version is a discretionary 5.75% trim and a trust-to-trust swap that happened to carry a purchase code. None of those fits in a tweet, which is why the tweet is usually wrong. Read the whole filing, not the headline.

That is why NexusAlert exists: to put the Form 144 notice, the Form 4 that follows, and five pillar scores in front of you the moment they post, so you can check the footnotes before the hot takes go out.
