Applied Digital's President Bought $5.7 Million of Stock. Its CEO Bought $1 Million.

Applied Digital President Jason Zhang bought $5.66 million of stock and CEO Wes Cummins $1.0 million. Here is what the Dossier says about that.

$6.66 million. That is what two top executives at Applied Digital, the AI data center company, spent buying their own stock on the open market on October 16, 2026. President Jason Zhang put in $5.66 million. CEO and Chairman Wes Cummins put in $1.0 million.

Both Form 4s hit EDGAR on Monday morning. The obvious read is “insiders are buying, so it must be bullish.” The better question is which of the two purchases actually tells you something, and what the same executives did with their shares the rest of the year.

What happened

Zhang bought 300,000 shares at a weighted average of $18.86, in trades ranging from $18.40 to $19.16. That works out to about $5.66 million. Cummins bought 55,803 shares at $18.04, about $1.01 million. Both filings use transaction code P, an open market purchase, and neither reports a Rule 10b5-1 plan. Zhang is an officer, not a director. Cummins is both.

MarketBeat has the stock opening Monday at $18.05, close to its 52 week low of $17.65 and far below the $50.72 high. NexusAlert flagged Zhang’s filing the day it was filed as High severity with insider buy, executive purchase, large purchase, and ownership increase.

The nuance: are these two buys the same signal?

Not quite. Start with size. Cummins’s direct holdings after the trade were 5,874,453 shares, and the filing also lists about 17.6 million shares held through Cummins Family Ltd. That is more than 23 million shares, or roughly $424 million at $18.05, and the direct figure includes 1.5 million unvested restricted stock units. A $1.0 million purchase is about a quarter of one percent of that. It is a real vote, but a small one.

Zhang’s $5.66 million is the bigger statement. His reported direct holdings after the trade were 2,839,227 shares, a count that includes unvested restricted stock units. Because the unvested units are in that number, the purchase is a larger share of what he owns outright than the headline count suggests. Put plainly, the President’s purchase carries more weight than the CEO’s, even though the CEO gets the headline.

The honest counterargument is that a single insider buy is a data point, not a forecast. Executives buy for many reasons, including to signal confidence after a drawdown. Nothing in a Form 4 tells you where the stock goes next.

The bigger pattern: what the Dossier shows

Applied Digital’s Company Dossier tells the other half of the story. Insiders are net sellers of $85.2 million across 58 Form 4 transactions in the trailing window, and the Insider Conviction score reads 0.5 out of 10, in the bottom 5 percent of companies NexusAlert scores.

Read that number carefully before drawing a conclusion. The three notable Form 4 lines the Dossier highlights are all Tax Withholding: Cummins at $17.2 million on August 3 and $14.2 million on June 23, and CFO Mohammad Mohmand at $8.7 million on June 23. That is $40.1 million of the net total, and tax withholding is the automatic sale of shares when restricted stock vests to cover the tax bill. It is not a decision to sell. It is also not the whole $85.2 million, and the Dossier shows 12 Form 144 notices with $16.4 million of planned selling on file this period. Those are real sales.

The Dossier’s five pillar Company Score puts the buy in context. Overall it sits at 15.7 out of 50, Below average, with Earnings Quality at 4.1, Financial Strength at 4.5, Governance at 2.0 and Institutional Flow at 4.6. The scores are a descriptive roll-up, not a validated predictor, and they do not tell you whether the stock will rise.

The lesson

A buy is only as informative as the person making it and the history behind it. Zhang’s $5.66 million stands out against a year of mostly mechanical selling. Cummins’s $1.0 million is meaningful, but small next to what he already owns. And the scary net selling number is part tax bill, part planned sales, which is not the same as insiders heading for the exit.

One purchase is a headline. The filing history behind it is the story. Read the whole filing, not the headline.
